Fairness, justice, integrity, honesty, and mutual benefit. Instrumax will evaluate suppliers' compliance with these principles. Any violation of this code may jeopardize the business relationship between the supplier and Instrumax. If any supplier violates these principles, makes any false or deceptive statements, representations, or warranties, or if Instrumax has reasonable grounds to believe that a partner has engaged in the aforementioned conduct, Instrumax has the right to immediately suspend or terminate the cooperation with that supplier after issuing written notice, and reserves the right to pursue legal liability.

This code applies to Instrumax suppliers that provide goods/services to Instrumax, or whose goods/services are used in Instrumax products, as well as their subsidiaries, affiliates, and all subcontractors and lower-tier suppliers (each referred to as "Supplier").

a. I. Anti-Corruption Principles a. Suppliers shall comply with all applicable anti-bribery laws when conducting business on behalf of Instrumax. Suppliers shall not engage in any form of bribery, kickbacks, corruption, extortion, money laundering, or embezzlement. They shall not promise, offer, authorize, give, or accept bribes or other means of obtaining improper or undue advantages.

b. This prohibition covers directly or indirectly through a third party promising, offering, authorizing, giving, or accepting anything of value to obtain or retain business, directly refer business to any person, direct the hiring of any person, or otherwise obtain an improper advantage. b.

c. Suppliers shall not provide any gifts, meals, or entertainment to Instrumax employees that may influence or appear to influence Instrumax employees' decisions regarding this supplier. Business decisions must be made based on fair and objective criteria. c.

Without obtaining written consent from Instrumax, suppliers shall not organize Instrumax personnel to participate in activities including but not limited to tourism, high-consumption entertainment, or meetings held in scenic areas for tourism purposes, unless the relevant expenses are borne by Party A itself. d. Support integrity and honesty building. If solicitation of bribes occurs in daily business processes, it must be refused and reported to the competent authorities.

II. Commercial Information Confidentiality Principles a. Do not obtain Instrumax's trade secrets through theft, inducement, coercion, or other improper means. b. Do not pry into trade secrets unrelated to one's own business. c. Without written consent from Instrumax, do not disclose its trade secrets to any third party. d.

Suppliers shall maintain appropriate security programs in accordance with Instrumax's information security and data privacy requirements, including relevant technical and organizational measures to prevent misuse, disclosure, loss, alteration, or unauthorized disclosure, acquisition, or access to proprietary confidential or protected information.

b. III. Conflict of Interest Principles a. Suppliers shall not enter into any transactions with Instrumax employees that may create actual or apparent conflicts of interest. A conflict of interest is any situation where personal interests or relationships may improperly influence or appear to improperly influence decisions made by an individual on behalf of Instrumax.

c. Even a suspected conflict of interest between an Instrumax employee and a supplier may harm Instrumax's business interests and reputation. b. Suppliers shall not jointly establish companies with Instrumax employees or their relatives, nor allow Instrumax employees or their relatives to hold shares in the supplier's company, thereby enabling Instrumax employees or their relatives to obtain improper benefits from the supplier. c.

d. Suppliers undertake that when participating in project bidding, they will proactively declare whether there is any affiliated relationship with other entities participating in the bid, and shall not collude with other entities on bid prices or engage in other activities that harm the legitimate rights and interests of Instrumax or other bidders. d. Definition of affiliated relationships: (a) Current Instrumax employees are direct investors in the supplier; (b) Current Instrumax employees hold concurrent positions in the supplier;

(c) Immediate family members of current Instrumax employees are direct investors in the supplier; (d) Immediate family members of current Instrumax employees work or hold positions in the supplier; (e) Former Instrumax employees become direct investors in the supplier or work or hold positions in the supplier after leaving Instrumax. Immediate family members: refers to spouses and children, parents and siblings of both spouses, and spouses of the above persons.

Suppliers shall respect intellectual property rights, ensure that technology and know-how are transferred in a manner that protects intellectual property, and ensure that customer and supplier information is protected. b. Suppliers shall protect the personal information of all persons with whom they have business dealings, including suppliers, customers, consumers, and employees. When collecting, storing, processing, transmitting, and sharing personal information, suppliers shall comply with privacy and information security laws and regulations. b.

c. Do not knowingly provide materials that do not meet the material technical specifications to Instrumax without prior notification. c. Do not promote materials to Instrumax that do not conform to industry development trends or Instrumax's development objectives without prior notification. d. Documents, materials, data, statements, and oral representations provided shall be true and accurate.

All suppliers are requested to follow the agreements between both parties, communicate the above requirements to all their employees who have business dealings with Instrumax, and to sub-suppliers or subcontractors under their management (i.e., suppliers or subcontractors not designated by Party A), strictly manage and be responsible for the conduct of their employees and the sub-suppliers and subcontractors under their management.
